These terms govern your use of WorkFlow and outline the rights and responsibilities of all parties using our platform.

Please read these terms carefully before using our platform

1 Acceptance of Terms

By accessing or using WorkFlow ("Platform", "Service", "we", "us", or "our"), you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Platform.

These Terms constitute a legally binding agreement between you and WorkFlow. We reserve the right to update these Terms at any time, and your continued use of the Platform after such changes constitutes acceptance of the new Terms.

By creating an account or using our services, you confirm that you are at least 18 years old and have the legal authority to enter into this agreement.

2 Platform Overview

WorkFlow is an online marketplace that connects clients seeking professional services with freelancers offering their skills and expertise. Our Platform facilitates:

  • Project posting and bidding processes
  • Secure communication between clients and freelancers
  • Payment processing and escrow services
  • Dispute resolution mechanisms
  • Profile and portfolio management
  • Rating and review systems

A Our Role

WorkFlow acts as an intermediary platform and does not directly provide freelance services. We are not a party to the contracts between clients and freelancers, nor do we control the quality, timing, or legality of services offered or requested.

B Platform Availability

While we strive for continuous availability, we do not guarantee uninterrupted access to our Platform. We may suspend or restrict access for maintenance, updates, or other operational reasons.

3 User Accounts

A Account Registration

To use our Platform, you must create an account by providing accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized account use
  • Keeping your account information up to date

B Account Types

We offer different account types:

  • Client Accounts: For businesses and individuals seeking freelance services
  • Freelancer Accounts: For service providers offering their skills
  • Hybrid Accounts: Users may act as both clients and freelancers

C Account Verification

We may require identity verification for enhanced security and trust. This may include email verification, phone verification, or document submission.

4 User Conduct

All users must adhere to our community standards and conduct guidelines.

A Prohibited Activities

Users must not engage in:

  • Posting false, misleading, or deceptive information
  • Engaging in fraudulent activities or scams
  • Harassment, discrimination, or abusive behavior
  • Violating intellectual property rights
  • Circumventing platform fees or payment systems
  • Creating multiple accounts to manipulate ratings or reviews
  • Offering or requesting illegal services
  • Spamming or unsolicited communications

B Professional Standards

Users are expected to maintain professional standards including:

  • Honest and accurate representation of skills and experience
  • Timely and respectful communication
  • Meeting agreed-upon deadlines and deliverables
  • Providing quality work as specified in project requirements

Violation Consequences

Violations of these conduct rules may result in account warnings, suspension, or permanent termination, depending on the severity and frequency of violations.

5 Services & Projects

A Project Posting

Clients may post projects with clear descriptions, requirements, budgets, and timelines. Project postings must be accurate and complete, and comply with our content guidelines.

B Freelancer Applications

Freelancers may submit proposals for projects, including their approach, timeline, and pricing. All proposals must be genuine and tailored to the specific project requirements.

C Contract Formation

When a client accepts a freelancer's proposal, a contract is formed between them. WorkFlow is not a party to this contract but may assist in dispute resolution.

D Work Standards

All work must meet the specifications agreed upon in the contract. Deliverables should be original, professional, and completed within agreed timelines.

6 Payments & Fees

A Platform Fees

WorkFlow charges service fees for facilitating transactions:

  • Freelancer Fee: 10% of project value (sliding scale based on total earnings)
  • Client Fee: 3% processing fee on payments
  • Payment Processing: Standard payment processing fees apply

B Payment Methods

We accept various payment methods including:

  • Credit and debit cards
  • Bank transfers
  • Digital wallets (PayPal, Stripe)
  • Cryptocurrency (select options)

C Escrow System

For project protection, payments are held in escrow until work is completed and approved. Funds are released according to milestone achievements or project completion terms.

D Refunds and Disputes

Refunds are processed according to our dispute resolution procedures. Platform fees are generally non-refundable except in cases of platform error or successful dispute resolution in favor of the client.

Payment Security

All payments are processed through secure, encrypted channels with PCI DSS compliance. We never store complete payment card information on our servers.

7 Intellectual Property

A Platform IP

WorkFlow retains all rights to our platform, including but not limited to our website, mobile applications, logos, trademarks, and proprietary technology.

B User-Generated Content

Users retain ownership of their original content but grant WorkFlow a non-exclusive license to use, display, and promote such content for platform operations.

C Work Product Ownership

Unless otherwise specified in the project contract, clients typically receive full ownership rights to completed work product. Specific IP arrangements should be clearly defined in project agreements.

D Copyright Infringement

We respect intellectual property rights and respond to valid DMCA takedown notices. Users found to repeatedly infringe copyrights may have their accounts terminated.

8 Disputes & Resolution

A Dispute Process

When disputes arise between users, we encourage direct communication first. If resolution cannot be reached, users may escalate to our dispute resolution team.

B Mediation Services

WorkFlow provides mediation services to help resolve conflicts. Our team reviews evidence, communications, and project details to make fair determinations.

C Binding Arbitration

For disputes that cannot be resolved through mediation, both parties agree to binding arbitration rather than court proceedings, except where prohibited by law.

D Limitation Period

Disputes must be raised within 60 days of the triggering event. Claims filed after this period may not be eligible for resolution through our platform.

9 Privacy & Data Protection

Your privacy is important to us. Our data collection, use, and protection practices are detailed in our Privacy Policy, which is incorporated into these Terms by reference.

We collect information necessary to provide our services, including account information, project data, communications, and usage analytics.

B Data Security

We implement industry-standard security measures to protect your data, including encryption, secure servers, and regular security audits.

C User Rights

You have rights regarding your personal data, including access, correction, deletion, and portability, subject to applicable laws and platform requirements.

10 Account Termination

A Voluntary Termination

You may close your account at any time by following the account closure process in your account settings. Outstanding obligations and payments will be processed according to existing agreements.

B Involuntary Termination

We may suspend or terminate accounts for Terms violations, fraudulent activity, or other conduct that harms the platform or its users.

C Effect of Termination

Upon termination, your access to the platform ceases, but certain obligations (payment obligations, confidentiality, IP rights) survive termination.

11 Disclaimers & Limitations

A Service Disclaimer

WorkFlow is provided "as is" without warranties of any kind. We do not guarantee continuous, error-free, or secure operation of our platform.

B User Responsibility

Users are solely responsible for evaluating and verifying other users, the quality of services, and the suitability of business relationships.

C Limitation of Liability

WorkFlow's liability is limited to the amount of fees paid to us in the 12 months preceding any claim. We are not liable for indirect, incidental, or consequential damages.

Important Limitation

WorkFlow does not guarantee the quality, safety, or legality of services offered by users. Users engage with others at their own risk and discretion.

12 Governing Law & Miscellaneous

A Applicable Law

B Severability
